Terms of Service
Last updated: October 24, 2026
These Terms of Service (“Terms”) govern purchases from and participation in the Riley & Co. Community Dog Treat Program (the “Program”), as well as use of the Riley & Co. Dog Treats website and related services.
Riley & Co. Dog Treats is operated by Spiratos Global LLC (“Riley & Co.,” “we,” “us,” or “our”).
By placing an order, authorizing automatic monthly delivery, or otherwise participating in the Program, you agree to these Terms on behalf of the organization you represent.
1. Eligibility and Authority
The Program is designed for banks, credit unions, and other financial institutions approved by Riley & Co. (each, an “Institution”).
By placing an order, you represent that you are authorized to act on behalf of the Institution and to approve the order, payment method, recurring delivery, use of the Institution’s name and logo, and other Program materials requested.
Riley & Co. may verify an organization’s eligibility before accepting or shipping an order and may decline an order at its reasonable discretion.
2. Orders and Pricing
Riley & Co. Dog Treats are currently priced at $20 per bag, with standard shipping included.
There is no minimum opening order and no minimum number of participating branches. An Institution may order for one branch, multiple branches, or its entire branch network.
Each participating branch may select the number of bags it needs. Riley & Co. may also accommodate Institution-wide orders shipped to a central location.
Applicable sales or other taxes may be added unless the Institution provides valid documentation establishing an exemption.
Riley & Co. may change its pricing in the future. Institutions receiving automatic monthly deliveries will receive reasonable advance notice before a price increase applies to a future order.
3. Automatic Monthly Delivery
Unless an order is expressly identified as a one-time order, orders placed through the Program are established as automatic monthly deliveries.
By approving automatic monthly delivery, the Institution authorizes Riley & Co. to deliver and charge for the selected number of bags each month using the approved payment method.
The number of bags delivered to each branch may be increased or decreased as the branch’s usage changes. Requested adjustments will apply to the next order that has not already entered processing.
Automatic monthly delivery may be canceled at any time, with no cancellation fee or penalty. Cancellation requests may be submitted by email or telephone using the contact information at the end of these Terms.
Cancellation will prevent future orders that have not already entered processing. Orders already processed or shipped may not be canceled.
4. Payment
Riley & Co. accepts major credit cards and ACH bank payments. Additional payment arrangements may be approved in writing for qualifying Institutions.
The Institution authorizes Riley & Co. and its third-party payment processor to charge the approved payment method for each order, including recurring monthly orders, applicable taxes, and any separately approved charges.
Riley & Co. does not store complete payment-card information.
If a payment is declined or cannot be completed, Riley & Co. may contact the Institution, suspend the affected shipment, or pause future deliveries until payment information is updated.
5. Cancellations, Refunds, and Order Problems
There are no cancellation fees or penalties.
Because Riley & Co. sells packaged food products, properly fulfilled orders are generally nonreturnable and nonrefundable after processing or shipment.
If an order is damaged, defective, incorrect, or not received, please contact Riley & Co. promptly. Depending on the circumstances, Riley & Co. will provide a replacement, account credit, or refund, as appropriate.
Any refund will ordinarily be returned to the original payment method.
6. Complimentary Customized Displays
Participating branches receive complimentary Riley & Co. treat displays that may be customized with the Institution’s name, logo, and approved messaging.
There is no separate setup or display charge. If a branch reasonably needs additional displays, Riley & Co. will provide them at no additional charge.
Displays are intended for use with Riley & Co. Dog Treats. Customized displays and signage may require additional preparation time before shipment.
Riley & Co. may decline excessive display requests or requests unrelated to the Institution’s reasonable branch needs.
7. Optional Adoptable-Pet Cards
Institutions may choose whether to participate in Riley & Co.’s optional adoptable-pet feature and which branches will participate.
An adoptable-pet card may clip directly to a Riley & Co. display and feature an animal’s photograph, name, and a QR code linking to information supplied or approved by the participating animal shelter or animal-welfare organization.
The availability and adoption status of an animal may change at any time. Riley & Co. does not control adoption decisions and cannot guarantee that a featured animal will remain available.
The Institution agrees to remove or replace outdated cards after receiving notice that an animal has been adopted, is no longer available, or that the associated information has changed.
Any additional terms or costs associated with this optional feature will be disclosed before the Institution elects to participate.
8. Institution Name and Logo
The Institution grants Riley & Co. a limited, nonexclusive, revocable license to use its name and logo for the purpose of creating customized displays, signage, adoptable-pet cards, shipping materials, and other Program materials requested by the Institution.
Riley & Co. will follow reasonable brand guidelines supplied by the Institution.
Riley & Co. will obtain the Institution’s approval before publicly identifying it as a Program participant in advertising, press releases, social-media content, testimonials, or promotional materials.
The Institution represents that it has the authority to provide the names, logos, artwork, and other materials it submits to Riley & Co.
9. Products and Safety
Riley & Co. Dog Treats are made in the United States and are intended for consumption by dogs only. They are not intended for human consumption.
Complete ingredient, allergen, guaranteed-analysis, feeding, and storage information appears on the product packaging. The treats contain peanuts and other ingredients identified on the package.
Dogs should be supervised while receiving treats. Pet owners are responsible for determining whether a product is appropriate for their dog, including consideration of allergies, dietary restrictions, medical conditions, size, and chewing ability.
Institutions should keep product packaging available so customers and employees can review the ingredient and safety information.
Riley & Co. maintains applicable feed registrations and business and product-liability insurance. Proof of insurance, a W-9, ingredient information, and other reasonably requested vendor documentation are available upon request.
10. Charitable Contributions
Riley & Co. contributes 50% of the net profits attributable to participating Institutions’ qualifying purchases to eligible animal shelters or animal-welfare organizations serving the communities in which participating branches are located.
For purposes of these Terms, “net profits” means revenue received from qualifying purchases, less refunds, discounts, taxes, product costs, displays, customization, packaging, shipping, payment-processing costs, and other costs and expenses reasonably attributable to providing and administering the Program. Riley & Co. applies its accounting methodology consistently to participating Institutions.
Riley & Co. generally selects an eligible local animal shelter or animal-welfare organization for each participating community. If an Institution prefers to support a different eligible organization, Riley & Co. will consider and, where reasonably possible, accommodate that request, subject to the organization’s eligibility, approval, and applicable legal requirements.
The specific recipient organization will be identified by its legal name in the Institution’s applicable Program materials before the associated charitable promotion begins.
Recipient organizations generally must be recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code or be an eligible governmental animal shelter.
Contributions are generally calculated quarterly and made within 60 days after the end of each calendar quarter. Contributions depend upon the Program generating net profits during the applicable period.
Quarterly reporting regarding charitable contributions is overseen by Anthony V. Ricci, CPA, Inc. and will be provided to the Institution’s designated executive or Program contact.
Contributions are made by Riley & Co. and may be recognized in the names of both Riley & Co. and the participating Institution. An Institution may accurately state that its participation helps generate contributions through the Riley & Co. Community Dog Treat Program.
Payments made to Riley & Co. are payments for products and services. They are not direct charitable contributions by the Institution, and Riley & Co. does not represent that any portion of the Institution’s payment is deductible as a charitable contribution. Institutions should consult their own tax advisors regarding the treatment of their purchases.
11. Shipping and Fulfillment
Institutions are responsible for providing complete and accurate shipping and contact information for each participating branch or central delivery location.
Standard shipping is included in the stated bag price for approved delivery addresses within the United States unless Riley & Co. and the Institution agree otherwise in writing.
Initial delivery timing depends upon order size, customization requirements, inventory availability, and the number of participating branches. Riley & Co. will provide an estimated shipping or launch schedule before finalizing a large multi-branch rollout.
Delivery dates are estimates and may be affected by carrier delays, weather, supply interruptions, customization requirements, or other circumstances outside Riley & Co.’s reasonable control.
Risk of loss passes to the Institution upon delivery to the address provided.
12. Website and Intellectual Property
The Riley & Co. name, Riley artwork, logos, website content, display designs, photographs, text, graphics, and other original materials are owned by or licensed to Spiratos Global LLC and are protected by applicable intellectual-property laws.
These materials may not be copied, reproduced, modified, distributed, sold, or used to create competing products or displays without prior written permission.
Institutions may use approved Riley & Co. materials to communicate their participation in the Program, provided the materials are not altered in a misleading manner.
13. Changes to Orders, the Program, or These Terms
Riley & Co. may improve or modify Program features, products, displays, or these Terms from time to time.
Material changes affecting pricing, automatic delivery, charitable-contribution calculations, or an Institution’s continuing obligations will be communicated before they apply to future orders.
The current version of these Terms will be posted on the Riley & Co. website with its effective date.
14. Disclaimer and Limitation of Liability
Except as expressly stated in these Terms and to the maximum extent permitted by law, the Program, website, displays, and products are provided without additional warranties, express or implied.
Riley & Co. and Spiratos Global LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the website, products, displays, or participation in the Program.
To the maximum extent permitted by law, Riley & Co.’s total liability arising from a claim will not exceed the amount paid by the Institution to Riley & Co. during the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles.
Any dispute arising from these Terms or the Program will be resolved in the state or federal courts located in Charleston County, South Carolina. The parties consent to the jurisdiction of those courts.
16. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
These Terms, together with the applicable order information, approved payment authorization, Privacy Policy, Return Policy, and any separately signed agreement, constitute the agreement between Riley & Co. and the Institution regarding the applicable purchase or participation in the Program.
If a separately signed agreement conflicts with these Terms, the separately signed agreement will control for that Institution.
